Terms of Service

These Terms of Service (“Terms”) govern your use of the Standby software, including the local daemon, Chrome extension, and related documentation (collectively, the “Service”), provided by xGenie LLC (“we”, “us”).

1. Acceptance

By installing or using Standby, you agree to these Terms. If you do not agree, do not use the Service.

2. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes. You may not redistribute, sublicense, reverse-engineer, or create derivative works from the Service.

3. Your Responsibilities

For local mode, you provide your own Anthropic API key (or sign in with Claude Code). For Standby Cloud, the model is managed for you. We do not supply or manage your local keys.
You are responsible for any actions the Service performs in your browser on your behalf.
You will not use the Service to violate any law, third-party terms of service, or the rights of others.

4. Data and Privacy

Standby can run locally or through Standby Cloud. In local mode, task data stays on your machine except for the model requests you send with your own Anthropic credentials. In Standby Cloud, we process and store the data needed to operate the managed service. See our Privacy Policy for details.

5. Third-Party Services

The Service sends page content and task context to Anthropic. In local mode, this happens from your machine using your own credentials. In Standby Cloud, this happens through the managed cloud service. Your use of Anthropic is governed by Anthropic’s terms. We are not responsible for third-party services.

6. Disclaimer

The Service is provided “as is” without warranty of any kind. We do not guarantee that automated browser actions will produce correct or desired results. Use at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, xGenie LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

8. Changes

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.
